Terms of Use
These Terms of Use, together with any additional terms, policies, guidelines, rules, order forms, subscription terms, enterprise agreements, partner program terms, community standards, privacy notices, and other documents expressly incorporated by reference, govern your access to and use of RXB’s websites, applications, software, dashboards, portals, APIs, products, services, tools, content, features, subscriptions, communications, and any related platform functionality, whether currently available or developed in the future.
These Terms form a legally binding agreement between you and Roxbury Collective LLC, doing business as RXB, including its affiliates, subsidiaries, successors, and assigns. Throughout these Terms, “RXB,” “Company,” “we,” “us,” and “our” refer to Roxbury Collective LLC. “User,” “you,” and “your” refer to any person or entity accessing or using the Services.
RXB is a music technology platform designed to modernize demo submission management, artist discovery, A&R workflows, label demo pipelines, community-based music engagement, intelligent demo ranking, music discovery infrastructure, artist-label interaction, and related music industry tools. RXB may serve artists, record labels, A&Rs, managers, publishers, distributors, curators, fans, creators, partners, enterprise customers, and other music industry participants.
By accessing or using the Services, creating an account, uploading content, submitting demos, reviewing submissions, voting on or ranking content, using label or enterprise tools, participating in the Partner Program, purchasing a subscription, accessing any dashboard, or otherwise interacting with RXB, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Services.
1. Definitions
For purposes of these Terms:
“Account” means a registered user account created to access or use the Services.
“Artist Content” means any music, demos, recordings, compositions, beats, vocals, lyrics, artwork, images, videos, names, likenesses, biographies, profiles, metadata, descriptions, comments, messages, submissions, or other materials uploaded, submitted, posted, transmitted, or otherwise provided by or on behalf of an artist, creator, producer, songwriter, or rights holder.
“Content” means all materials, information, data, text, music, sound recordings, compositions, videos, artwork, images, graphics, profiles, metadata, submissions, comments, messages, ratings, votes, rankings, feedback, analytics, reports, dashboards, software, algorithms, models, interfaces, designs, and other content or materials available through or submitted to the Services.
“Demo” means any audio recording, music file, song, track, beat, sample, composition, work-in-progress, unreleased recording, or other musical work submitted, uploaded, shared, or made available through RXB.
“Enterprise Customer” means a record label, label group, management company, publisher, distributor, music company, brand, agency, or other business customer that uses RXB under an enterprise, partner, label, or business account.
“Label User” means any record label, A&R representative, manager, executive, music company employee, consultant, contractor, curator, partner, or other industry professional using the Services to receive, review, rank, manage, discover, evaluate, or interact with Demos, Artist Content, artists, or related data.
“Partner Program” means any RXB program through which labels, creators, curators, music companies, influencers, communities, agencies, or other partners may participate in promotional, referral, discovery, monetization, revenue-sharing, sponsorship, or platform growth opportunities.
“Platform Data” means data generated, collected, inferred, derived, analyzed, aggregated, or created by RXB through the operation of the Services, including rankings, scores, engagement data, ratings, submissions, trends, analytics, recommendation outputs, metadata, usage data, performance data, behavioral data, and aggregated or anonymized insights.
“RXB Technology” means RXB’s proprietary software, platform architecture, interfaces, workflows, designs, databases, ranking systems, scoring systems, recommendation engines, discovery tools, algorithms, artificial intelligence systems, machine learning models, analytics systems, data structures, trade secrets, know-how, processes, methods, and related intellectual property.
“Services” means all websites, mobile applications, web applications, dashboards, portals, APIs, tools, software, subscriptions, enterprise services, label dashboards, artist tools, community features, ranking systems, recommendation systems, analytics, messaging tools, Partner Program features, advertising tools, monetization features, and related services provided by RXB.
“User Content” means any Content that you submit, upload, post, transmit, display, provide, share, vote on, rank, rate, comment on, message, or otherwise make available through the Services, including Artist Content and Demo submissions.
2. Acceptance of Terms
2.1 Binding Agreement
By accessing or using the Services, you agree to these Terms and any policies incorporated by reference. These Terms apply to all users, including artists, listeners, fans, labels, A&Rs, managers, industry professionals, partners, enterprise customers, advertisers, sponsors, and visitors.
2.2 Additional Terms
Certain features may be subject to additional terms, including subscription terms, enterprise agreements, label account terms, Partner Program terms, advertising terms, API terms, beta terms, promotional terms, or payment terms. If additional terms conflict with these Terms, the additional terms control only with respect to the specific feature, transaction, or service to which they apply.
2.3 Authority to Bind an Entity
If you access or use the Services on behalf of a company, label, artist entity, partnership, agency, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” include both you individually and the entity you represent.
3. Eligibility
3.1 Minimum Age
You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.
3.2 Users Under 18
If you are under 18, you may not submit Demos, participate in monetization features, enter into payment arrangements, participate in the Partner Program, or engage in business-facing Services unless your parent or legal guardian has provided any required consent and accepted responsibility for your use of the Services.
3.3 Prohibited Users
You may not use the Services if you are barred from doing so under applicable law, subject to sanctions, located in an embargoed jurisdiction, previously suspended or removed from RXB, or otherwise prohibited by RXB from accessing the Services.
4. Account Registration and Security
4.1 Account Creation
To access certain features, you may be required to create an Account and provide accurate, current, and complete information. You agree to keep your Account information updated.
4.2 Account Responsibility
You are responsible for all activity that occurs under your Account, whether or not authorized by you. You must maintain the confidentiality of your login credentials and promptly notify RXB of any unauthorized access or suspected security breach.
4.3 Account Types
RXB may offer different Account types, including artist accounts, listener accounts, label accounts, A&R accounts, manager accounts, enterprise accounts, partner accounts, administrator accounts, and other role-based access levels. RXB may determine, modify, limit, or revoke Account privileges at its discretion.
4.4 Account Accuracy
You may not impersonate another person or entity, misrepresent your affiliation with an artist, label, manager, company, partner, or rights holder, or create an Account using false, misleading, or unauthorized information.
5. Description of the Services
RXB provides technology for music discovery, demo submission management, artist engagement, A&R workflow modernization, intelligent ranking, label pipeline management, community participation, and related music industry tools.
The Services may include, now or in the future:
- artist profiles;
- Demo uploads and submissions;
- label demo feeds;
- A&R dashboards;
- submission management tools;
- community voting, rating, ranking, or engagement features;
- algorithmic and AI-assisted discovery;
- artist analytics;
- label analytics;
- music discovery feeds;
- messaging and networking features;
- subscriptions and premium memberships;
- enterprise accounts;
- Partner Program functionality;
- promotional, advertising, and sponsorship tools;
- monetization features;
- API access and integrations;
- music industry marketplace functionality;
- beta, experimental, or pilot features; and
- other features RXB may develop or make available.
RXB may add, remove, modify, suspend, limit, or discontinue any feature or functionality at any time, with or without notice, subject to applicable law and any separately executed written agreement.
6. User Responsibilities
You are solely responsible for:
- your access to and use of the Services;
- your Account activity;
- your User Content;
- your Demos and Artist Content;
- your communications with other users;
- your business dealings with artists, labels, managers, partners, or third parties;
- obtaining all rights, licenses, permissions, and clearances required for your User Content;
- ensuring your use of the Services complies with applicable law;
- ensuring all metadata, ownership information, contact information, and rights information you provide is accurate; and
- backing up your own Content.
RXB is not responsible for verifying the accuracy, ownership, authorship, licensing status, royalty status, authorship splits, publishing status, sample clearances, collaboration agreements, management authority, or label authority associated with any User Content.
7. User Content and Artist Content
7.1 Ownership Retained by User
As between you and RXB, you retain ownership of your User Content, including any Artist Content and Demos you upload or submit, subject to the license you grant RXB under these Terms.
7.2 No Transfer of Music Ownership to RXB
RXB does not claim ownership of your sound recordings, musical compositions, lyrics, beats, vocals, artwork, or other Artist Content solely because you upload, submit, or make them available through the Services.
7.3 License to RXB
By uploading, submitting, posting, transmitting, or otherwise making User Content available through the Services, you grant RXB a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, transferable license to host, store, reproduce, encode, transcode, cache, process, display, perform, stream, transmit, distribute, make available, adapt, modify for technical purposes, analyze, index, rank, score, recommend, promote, and otherwise use your User Content as reasonably necessary or useful to operate, provide, improve, develop, market, secure, moderate, monetize, and promote the Services.
This license includes the right for RXB to:
- make your User Content available to intended recipients, including labels, A&Rs, managers, industry professionals, partners, enterprise customers, community users, and other users based on your settings and platform functionality;
- display your name, artist name, profile, likeness, image, biography, metadata, and related information in connection with your User Content;
- create technical copies, previews, snippets, thumbnails, waveforms, metadata extracts, summaries, rankings, scores, and analytics;
- include your User Content in feeds, charts, rankings, dashboards, discovery tools, playlists, recommendation systems, search results, reports, marketing materials, and promotional placements, subject to platform settings and applicable law;
- use your User Content to operate moderation, safety, fraud detection, ranking, recommendation, analytics, discovery, and quality-control systems;
- share User Content with service providers, hosting providers, payment processors, analytics providers, infrastructure providers, enterprise customers, and other third parties as necessary to provide the Services; and
- use aggregated or de-identified data derived from User Content and platform activity for analytics, benchmarking, product development, research, commercial insights, reporting, and improvement of the Services.
7.4 License Duration
The license granted to RXB continues for as long as your User Content is available through the Services and for a commercially reasonable period thereafter as necessary for backup, archival, audit, legal, compliance, dispute resolution, fraud prevention, safety, analytics, or legitimate business purposes. Aggregated, anonymized, or de-identified data may be retained and used indefinitely.
7.5 Removal of User Content
You may be able to remove certain User Content through your Account settings. Removal may not immediately delete all copies, cached versions, backups, analytics, logs, submissions already delivered to labels or recipients, or records RXB is legally or operationally required to retain.
7.6 User Content Visibility
You understand that Demos, submissions, rankings, scores, engagement metrics, profile information, and other User Content may be visible to other users, labels, A&Rs, partners, enterprise customers, or the public, depending on platform features, Account type, submission settings, and RXB’s operational decisions.
8. User Representations and Warranties
You represent and warrant that:
- you own or control all rights necessary to upload, submit, post, share, license, and use your User Content through the Services;
- your User Content does not infringe, misappropriate, or violate any copyright, trademark, trade secret, publicity right, privacy right, contractual right, moral right, or other right of any person or entity;
- you have obtained all necessary consents, releases, licenses, permissions, clearances, and approvals from artists, producers, songwriters, featured performers, collaborators, engineers, photographers, designers, labels, publishers, managers, unions, guilds, collecting societies, distributors, and other rights holders, where applicable;
- your User Content does not contain uncleared samples, unauthorized interpolations, infringing beats, stolen instrumentals, unauthorized vocals, unauthorized remixes, or materials you do not have the right to use;
- all metadata, authorship information, credits, ownership information, contact information, label information, submission information, and rights information you provide is accurate and not misleading;
- your use of the Services complies with all applicable laws, rules, regulations, contracts, and industry obligations;
- you will not use RXB to commit fraud, manipulate rankings, artificially inflate engagement, mislead users, or interfere with the integrity of the Services;
- you will not submit confidential, proprietary, or restricted third-party materials unless you are authorized to do so; and
- you will not use the Services in a way that exposes RXB to royalty claims, licensing claims, infringement claims, ownership disputes, contractual disputes, or regulatory violations caused by your conduct or User Content.
9. Demo Submissions and Music Industry Disclaimers
9.1 No Guarantee of Review
Submitting a Demo through RXB does not guarantee that any label, A&R, manager, executive, partner, curator, or industry professional will listen to, review, respond to, sign, promote, license, distribute, monetize, or otherwise act upon your submission.
9.2 No Guarantee of Success
RXB does not guarantee discovery, exposure, popularity, votes, rankings, label interest, meetings, contracts, record deals, publishing deals, management deals, distribution deals, playlisting, streams, followers, revenue, career advancement, or any other outcome.
9.3 Independent Label Decisions
Labels, A&Rs, managers, and industry professionals using RXB make their own independent decisions. RXB is not responsible for any decision by any third party to review, ignore, contact, reject, sign, negotiate with, exploit, or refrain from engaging with any artist or User Content.
9.4 No Agency Relationship
RXB is not your agent, manager, label, publisher, distributor, lawyer, accountant, fiduciary, broker, representative, or career advisor unless expressly agreed in a separate written agreement signed by RXB.
9.5 Similarity of Ideas and Music
You acknowledge that music, beats, melodies, lyrics, concepts, branding, artist names, creative ideas, and business ideas may be similar or independently developed by others. RXB is not responsible for similarities between your User Content and any content, music, ideas, releases, campaigns, or projects created by other users, labels, partners, or third parties.
9.6 Unsolicited Submissions
By submitting Demos or other materials through RXB, you understand that RXB, labels, A&Rs, partners, and other users may already be developing or reviewing similar music, ideas, artists, concepts, campaigns, or technologies. You waive any claim that RXB’s receipt, review, ranking, display, or operation of the Services creates confidentiality, exclusivity, compensation, ownership, or idea-submission obligations except as expressly stated in a written agreement signed by RXB.
10. Label, A&R, and Enterprise Account Terms
10.1 Label Accounts
RXB may provide accounts, dashboards, tools, analytics, submission feeds, ranking systems, administrative features, collaboration tools, and other functionality for labels, A&Rs, managers, music companies, and enterprise customers.
10.2 Authorized Users
Enterprise Customers are responsible for all activity by their authorized users, employees, contractors, consultants, representatives, and administrators. Enterprise Customers must ensure that all authorized users comply with these Terms and any applicable enterprise agreement.
10.3 Review of Submissions
Label Users may access, review, sort, rank, comment on, filter, organize, and manage Demos and Artist Content through the Services. Label Users agree to use submission materials only in accordance with applicable law, these Terms, any applicable enterprise agreement, and any restrictions presented through the Services.
10.4 Confidentiality of Label Tools
Label dashboards, analytics, scoring systems, ranking interfaces, workflow tools, reports, pricing, enterprise features, beta tools, and related RXB Technology are confidential and proprietary to RXB. Label Users may not disclose, copy, replicate, reverse engineer, benchmark, scrape, export, resell, or use these tools to build competing products or services.
10.5 No Employment or Agency Relationship
Use of RXB by a Label User does not create an employment, agency, partnership, joint venture, fiduciary, or representative relationship between RXB and the Label User, between RXB and any artist, or between any artist and any Label User.
10.6 Enterprise Agreements
If an Enterprise Customer enters into a separate written agreement with RXB, that agreement may include additional or different terms. In the event of a direct conflict, the executed enterprise agreement controls solely with respect to the covered enterprise services.
11. Community Ranking, Voting, Ratings, and Engagement Systems
11.1 Platform Rankings
RXB may use community voting, user engagement, listening behavior, review activity, ratings, comments, saves, shares, completion rates, label interactions, algorithmic signals, AI-assisted analysis, editorial inputs, fraud detection systems, and other factors to rank, score, recommend, distribute, display, or prioritize Content.
11.2 No Right to Ranking or Visibility
You have no right to any particular ranking, score, placement, feed position, recommendation, exposure, visibility, or distribution within RXB.
11.3 Ranking Changes
RXB may modify, remove, suppress, promote, demote, reorder, recalculate, reset, audit, adjust, or withhold rankings, scores, feeds, charts, recommendations, or visibility at any time for any reason, including fraud prevention, quality control, platform integrity, product testing, compliance, moderation, user safety, business strategy, or algorithmic improvement.
11.4 Manipulation Prohibited
You may not manipulate or attempt to manipulate votes, rankings, ratings, streams, plays, saves, follows, likes, comments, shares, reviews, submissions, engagement, discovery feeds, recommendation systems, charts, analytics, or platform metrics by fraudulent, deceptive, artificial, automated, incentivized, coordinated, or unauthorized means.
11.5 No Compensation for Engagement
Unless expressly agreed in a separate written agreement with RXB, you are not entitled to compensation, royalties, revenue share, credits, promotional value, or other consideration based on rankings, engagement, votes, ratings, listens, submissions, platform activity, or inclusion in any feed, chart, report, dashboard, or discovery feature.
12. Algorithmic and AI-Based Features
12.1 Use of Algorithms and AI
RXB may use algorithms, artificial intelligence, machine learning, automated systems, recommendation engines, ranking models, fraud detection tools, natural language processing, audio analysis, metadata analysis, user behavior analysis, and similar technologies to operate, improve, secure, personalize, rank, recommend, moderate, and analyze the Services.
12.2 Outputs Are Not Guarantees
AI-generated, algorithmic, analytical, or recommendation outputs may be incomplete, inaccurate, subjective, experimental, or based on limited data. RXB does not guarantee that any ranking, score, recommendation, prediction, classification, insight, or output is accurate, fair, complete, commercially useful, or suitable for any particular purpose.
12.3 Platform Discretion
RXB may design, modify, test, remove, audit, retrain, recalibrate, suppress, or replace any algorithmic, AI, ranking, scoring, recommendation, moderation, or analytics system at any time.
12.4 No Disclosure Obligation
RXB is not required to disclose the details of its algorithms, ranking criteria, scoring logic, model weights, recommendation factors, fraud detection methods, training processes, or proprietary systems.
12.5 Data Use for AI and Improvement
Subject to applicable law and RXB’s Privacy Policy, RXB may use Platform Data, User Content, usage information, metadata, engagement data, ratings, rankings, feedback, and interactions to operate, analyze, train, develop, test, improve, and enhance RXB’s algorithms, AI systems, recommendation systems, fraud detection systems, moderation systems, analytics, and Services. Where required by law, RXB will provide any legally required notices, consents, choices, or opt-out rights.
13. RXB Intellectual Property
13.1 Ownership
The Services, RXB Technology, Platform Data, software, source code, object code, interfaces, designs, databases, workflows, dashboards, algorithms, ranking systems, scoring systems, recommendation systems, analytics, reports, trademarks, logos, trade names, graphics, visual designs, documentation, and all related intellectual property are owned by RXB or its licensors.
13.2 Limited License to Use Services
Subject to your compliance with these Terms, RXB grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for their intended purpose.
13.3 Restrictions
You may not:
- copy, reproduce, distribute, sell, lease, license, sublicense, modify, adapt, translate, or create derivative works of the Services or RXB Technology;
- reverse engineer, decompile, disassemble, or attempt to discover source code, algorithms, models, structures, or underlying ideas;
- scrape, crawl, harvest, index, mine, extract, download, or copy Platform Data, User Content, rankings, metadata, dashboards, analytics, or other data except as expressly permitted by RXB;
- build, train, improve, or support any competing product, service, dataset, algorithm, model, database, or platform using the Services, Platform Data, RXB Technology, or User Content obtained through RXB;
- bypass, disable, or interfere with security, access controls, rate limits, usage limits, payment systems, moderation systems, ranking systems, or technical restrictions;
- use bots, spiders, scrapers, crawlers, automated tools, scripts, or unauthorized APIs to access the Services;
- benchmark, test, analyze, or publish performance information about the Services without RXB’s written consent;
- remove, obscure, or alter proprietary notices;
- use RXB’s name, logo, trademarks, or branding without authorization; or
- use the Services for any purpose not expressly permitted by these Terms.
13.4 Reservation of Rights
All rights not expressly granted to you are reserved by RXB and its licensors.
14. Trademarks
RXB’s names, logos, marks, trade dress, product names, service names, graphics, and branding are trademarks or proprietary identifiers of RXB. You may not use RXB’s trademarks without RXB’s prior written permission, except as permitted by law. Any goodwill arising from use of RXB marks will inure solely to RXB.
15. Acceptable Use Policy
You agree not to use the Services to:
- violate any law, regulation, contract, or third-party right;
- infringe copyright, trademark, publicity, privacy, moral, contractual, or other rights;
- upload stolen, infringing, unauthorized, or uncleared music;
- submit music you do not have the right to submit;
- impersonate another person, artist, label, company, or rights holder;
- misrepresent authorship, ownership, affiliation, credentials, credits, rights, or authority;
- harass, threaten, abuse, defame, exploit, intimidate, or harm another person;
- upload malware, viruses, harmful code, or disruptive materials;
- interfere with, overload, damage, or impair the Services;
- manipulate rankings, votes, ratings, engagement, charts, recommendations, or analytics;
- use artificial engagement, fake accounts, click farms, bot networks, vote trading, paid manipulation, or coordinated deception;
- scrape, crawl, extract, or harvest data;
- reverse engineer or copy RXB Technology;
- circumvent payment systems, subscription controls, access restrictions, or usage limits;
- spam, phish, solicit, advertise, or send unauthorized commercial messages;
- collect personal information without consent;
- upload unlawful, obscene, hateful, violent, exploitative, or harmful Content;
- violate export controls, sanctions, or anti-corruption laws;
- use the Services for money laundering, fraud, deceptive business practices, or unlawful monetization; or
- engage in conduct RXB determines may harm RXB, users, partners, artists, labels, rights holders, or the integrity of the Services.
16. Fraud, Manipulation, and Platform Integrity
RXB may monitor, investigate, restrict, suspend, remove, demote, suppress, reset, withhold, or terminate Accounts, Content, rankings, scores, analytics, submissions, payments, payouts, Partner Program benefits, promotional benefits, or platform access if RXB believes, in its sole discretion, that fraud, manipulation, abuse, artificial engagement, rights violations, security threats, or platform integrity issues may exist.
RXB may use automated and manual systems to detect suspicious behavior. RXB is not required to disclose its fraud detection methods or enforcement criteria.
17. Content Moderation and Enforcement
17.1 RXB Moderation Rights
RXB may, but is not obligated to, review, monitor, moderate, remove, disable, restrict, suppress, demote, block, edit for technical purposes, or refuse to display any Content at any time, with or without notice, if RXB believes the Content violates these Terms, applicable law, third-party rights, platform integrity rules, community standards, or RXB’s business interests.
17.2 No Obligation to Monitor
RXB does not undertake any obligation to monitor all User Content, verify all ownership claims, review all Demos, screen all communications, or police all user conduct.
17.3 Enforcement Discretion
RXB may enforce these Terms at its discretion. Failure to enforce any provision does not constitute a waiver.
17.4 Appeals
RXB may provide appeal or review processes for certain enforcement actions, but is not required to do so unless required by applicable law.
18. Copyright, DMCA, and Repeat Infringer Policy
18.1 Copyright Compliance
You may not upload, submit, post, distribute, or otherwise make available any Content that infringes another person’s copyright or related rights.
18.2 DMCA Notices
If you believe Content available through RXB infringes your copyright, you may send a notice under the Digital Millennium Copyright Act to RXB at support@roxburycollective.com requesting contact information for RXB’s designated copyright agent.
Your notice should include:
- your physical or electronic signature;
- identification of the copyrighted work claimed to be infringed;
- identification of the allegedly infringing material and information reasonably sufficient to locate it;
- your contact information;
- a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
18.3 Counter-Notices
If you believe your Content was removed or disabled by mistake or misidentification, you may submit a counter-notice that complies with applicable law.
18.4 Repeat Infringers
RXB may terminate or restrict Accounts of users who are repeat infringers or who are repeatedly accused of infringement, as determined by RXB in its discretion and in accordance with applicable law.
18.5 No Legal Advice
RXB does not provide legal advice regarding copyright ownership, music licensing, sampling, publishing, royalty splits, work-for-hire status, collaboration rights, or related disputes.
19. Music Licensing and Royalty Disclaimers
19.1 User Responsibility for Rights
You are solely responsible for obtaining and maintaining all rights, licenses, approvals, consents, and clearances required for your User Content.
19.2 No Royalty Administration
Unless expressly agreed in a separate written agreement, RXB is not responsible for royalty accounting, royalty collection, royalty distribution, publishing administration, mechanical licensing, performance rights administration, neighboring rights, producer royalties, sample clearance, union payments, or similar obligations.
19.3 No Rights Clearance by RXB
RXB does not clear, verify, or guarantee any rights in User Content. RXB does not guarantee that any Demo, beat, sample, vocal, composition, recording, image, or metadata submitted through the Services is legally cleared or non-infringing.
19.4 Collaborator Disputes
RXB is not responsible for disputes among artists, producers, songwriters, collaborators, managers, labels, publishers, distributors, or rights holders, including disputes over ownership, credit, revenue, royalties, creative control, samples, splits, or authorization to submit Content.
20. Communications and Interactions Between Users
20.1 User Interactions
You are solely responsible for your interactions with other users, including artists, labels, A&Rs, managers, fans, partners, and third parties.
20.2 No Responsibility for Third-Party Conduct
RXB is not responsible for the conduct, statements, representations, offers, negotiations, agreements, payments, failures, omissions, or disputes of any user or third party.
20.3 Deals Outside RXB
Any agreement, signing, collaboration, license, distribution arrangement, management agreement, publishing agreement, partnership, or business transaction between users is solely between those parties unless RXB is expressly a party to a separate written agreement.
20.4 User Due Diligence
You should conduct your own due diligence and seek professional legal, financial, tax, and business advice before entering into any agreement or transaction with another user or third party.
21. Subscriptions, Billing, and Payments
21.1 Paid Services
RXB may offer paid subscriptions, premium features, enterprise plans, promotional tools, analytics tools, Partner Program features, advertising products, API access, transaction-based features, or other paid services.
21.2 Billing Information
You agree to provide accurate payment and billing information and authorize RXB and its payment processors to charge applicable fees, taxes, and other amounts.
21.3 Subscription Renewals
Unless otherwise stated, subscriptions may automatically renew until canceled. You authorize RXB to charge your payment method for recurring fees at the applicable interval.
21.4 Price Changes
RXB may change fees, pricing, plans, features, or billing methods at any time, subject to applicable law and any specific notice obligations.
21.5 Taxes
You are responsible for all applicable taxes, duties, levies, and governmental charges associated with your use of paid Services, except taxes based on RXB’s net income.
21.6 Refunds
Fees are non-refundable except as required by law or expressly stated in a separate written policy, order form, or agreement.
21.7 Payment Processors
Payments may be processed by third-party payment processors. Your use of payment features may be subject to their terms and privacy policies.
21.8 Failed Payments
If payment fails, RXB may suspend, limit, downgrade, or terminate access to paid features, subscriptions, enterprise tools, or Account functionality.
22. Partner Program Terms
22.1 Program Participation
RXB may offer a Partner Program allowing eligible partners to participate in referral, promotional, discovery, revenue-sharing, sponsorship, affiliate, community, label, creator, or platform growth initiatives.
22.2 No Automatic Eligibility
Participation in the Partner Program is subject to RXB approval and ongoing compliance with these Terms and any Partner Program terms. RXB may approve, reject, suspend, modify, or terminate participation at any time.
22.3 Partner Conduct
Partners must not misrepresent RXB, make unauthorized guarantees, use deceptive marketing, spam, manipulate platform activity, misuse artist relationships, infringe third-party rights, violate advertising laws, or engage in conduct that may harm RXB’s reputation, users, or platform integrity.
22.4 Partner Revenue and Benefits
Any revenue share, referral fee, promotional benefit, sponsorship opportunity, commission, credit, or other benefit is subject to the specific Partner Program terms then in effect. RXB may modify or discontinue Partner Program benefits at any time unless otherwise agreed in a signed written agreement.
22.5 No Authority to Bind RXB
Partners may not bind RXB, make commitments on RXB’s behalf, represent that they are employees or agents of RXB, or enter into agreements for RXB unless expressly authorized in writing.
22.6 Withholding and Clawback
RXB may withhold, offset, reverse, or claw back Partner Program payments or benefits if RXB believes they resulted from fraud, manipulation, breach of terms, invalid referrals, chargebacks, unlawful activity, or platform abuse.
23. Advertising, Promotion, and Sponsorship
23.1 Promotional Features
RXB may offer promotional placements, sponsored content, advertising tools, featured submissions, artist campaigns, label campaigns, brand partnerships, or other promotional opportunities.
23.2 No Guarantee of Performance
RXB does not guarantee views, clicks, listens, conversions, followers, submissions, votes, rankings, label interest, revenue, or other outcomes from promotional or advertising services.
23.3 Sponsored Content
RXB may display sponsored content, advertisements, promotions, or paid placements. RXB may determine labeling, placement, targeting, duration, visibility, and distribution of such content subject to applicable law.
23.4 Promotional Compliance
Advertisers, sponsors, and promotional users are responsible for ensuring their content and campaigns comply with applicable advertising, endorsement, consumer protection, intellectual property, privacy, and music industry laws.
24. Data, Analytics, and Aggregated Insights
24.1 Platform Data
RXB may collect, generate, process, analyze, and use Platform Data to operate, secure, improve, personalize, monetize, and develop the Services.
24.2 Aggregated and De-Identified Data
RXB may create, use, retain, disclose, license, sell, commercialize, and otherwise exploit aggregated, anonymized, or de-identified data and insights derived from use of the Services, provided such data does not identify you where required by applicable law.
24.3 Analytics
RXB may provide analytics, dashboards, reports, benchmarks, ranking data, submission performance data, engagement metrics, trend data, and other insights to users, labels, enterprise customers, partners, or third parties, subject to applicable law and platform settings.
24.4 No Accuracy Guarantee
Analytics and Platform Data may be incomplete, delayed, estimated, inferred, experimental, or subject to change. RXB does not guarantee the accuracy, completeness, or reliability of analytics, rankings, scores, metrics, or reports.
25. Privacy
RXB’s collection, use, disclosure, and processing of personal information is described in RXB’s Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge RXB’s Privacy Policy.
Where required by law, RXB may provide additional privacy notices, consent mechanisms, data processing terms, or regional rights for users in certain jurisdictions, including California, the European Economic Area, the United Kingdom, and other applicable regions.
26. APIs, Integrations, and Third-Party Services
26.1 Third-Party Services
The Services may integrate with or link to third-party websites, applications, platforms, distributors, streaming services, social networks, payment processors, analytics providers, storage providers, music services, or other services. RXB does not control and is not responsible for third-party services.
26.2 Third-Party Terms
Your use of third-party services may be subject to separate terms and privacy policies. RXB is not responsible for third-party content, data practices, availability, security, errors, fees, or conduct.
26.3 API Access
RXB may provide API access subject to additional API terms, rate limits, technical restrictions, usage policies, and approval requirements. RXB may suspend, limit, or revoke API access at any time.
26.4 Integration Data
By connecting third-party accounts or integrations, you authorize RXB to access, process, transmit, and store relevant data as necessary to provide integration functionality, subject to applicable law and RXB’s Privacy Policy.
27. Beta, Experimental, and Future Features
RXB may offer beta, pilot, experimental, pre-release, invite-only, limited-access, or test features. Such features may be incomplete, unstable, unavailable, inaccurate, or discontinued at any time. RXB provides beta features “as is” and without warranties of any kind.
You agree not to disclose confidential information about non-public beta features unless RXB authorizes you to do so.
28. Confidentiality
If RXB provides you with non-public information, including enterprise features, dashboards, pricing, product roadmaps, beta features, ranking systems, algorithms, business plans, technical information, or partner terms, you agree to keep such information confidential and use it only for the purpose for which RXB provided it.
This section does not limit any separate confidentiality agreement or non-disclosure agreement between you and RXB.
29. Termination and Suspension
29.1 Termination by You
You may stop using the Services at any time. You may also be able to delete or deactivate your Account through available Account settings.
29.2 Termination by RXB
RXB may suspend, restrict, disable, downgrade, terminate, or delete your Account, Content, access, subscriptions, Partner Program participation, or use of the Services at any time if RXB believes you violated these Terms, created risk, infringed rights, manipulated the platform, engaged in fraud, failed to pay fees, harmed users, or acted inconsistently with RXB’s interests.
29.3 Effect of Termination
Upon termination, your right to access and use the Services will cease. RXB may retain certain information as necessary for legal, compliance, security, fraud prevention, audit, backup, dispute resolution, legitimate business, or enforcement purposes.
29.4 Survival
Sections concerning intellectual property, User Content licenses, Platform Data, restrictions, disclaimers, limitation of liability, indemnification, dispute resolution, arbitration, class action waiver, governing law, confidentiality, payment obligations, and any provisions that by their nature should survive will survive termination.
30. Disclaimers
30.1 Services Provided “As Is”
The Services are provided on an “as is,” “as available,” and “with all faults” basis. RXB disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, reliability, and course of dealing.
30.2 No Platform Guarantee
RXB does not warrant that the Services will be uninterrupted, secure, error-free, available, accurate, complete, compatible, profitable, or free of harmful components.
30.3 No Music Industry Guarantee
RXB does not guarantee record deals, label interest, artist discovery, commercial success, revenue, streams, followers, rankings, votes, promotional results, career outcomes, or business opportunities.
30.4 No Professional Advice
Information provided through the Services is for informational purposes only and does not constitute legal, financial, tax, business, music licensing, career, or professional advice.
30.5 Third-Party Content
RXB is not responsible for User Content, third-party content, label conduct, artist conduct, partner conduct, external services, or any claims arising from third-party materials or interactions.
31. Limitation of Liability
To the maximum extent permitted by law, RXB and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, partners, and representatives will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, enhanced, or lost-profit damages, including lost revenue, lost business, lost opportunities, lost goodwill, lost data, lost Content, reputational harm, emotional distress, business interruption, or substitute services, arising out of or relating to the Services or these Terms, even if RXB has been advised of the possibility of such damages.
To the maximum extent permitted by law, RXB’s total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the amount you paid to RXB for the Services giving rise to the claim during the three months preceding the event giving rise to liability; or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, RXB’s liability will be limited to the maximum extent permitted by law.
32. Indemnification
You agree to defend, indemnify, and hold harmless RXB and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, partners, and representatives from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- your access to or use of the Services;
- your User Content, Demos, Artist Content, metadata, submissions, or communications;
- your violation of these Terms;
- your violation of applicable law;
- your infringement, misappropriation, or violation of third-party rights;
- any dispute involving ownership, authorship, credits, royalties, splits, samples, licenses, collaborations, management authority, or submission authority;
- your fraud, manipulation, artificial engagement, or platform abuse;
- your business dealings with other users or third parties;
- your participation in the Partner Program; or
- your negligence, willful misconduct, or unauthorized conduct.
RXB reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with RXB’s defense.
33. Dispute Resolution; Arbitration; Class Action Waiver
33.1 Informal Resolution
Before filing any claim, you agree to first contact RXB at support@roxburycollective.com and attempt to resolve the dispute informally. The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after notice is received.
33.2 Binding Arbitration
Except for claims that may be brought in small claims court and claims seeking injunctive or equitable relief for intellectual property, unauthorized access, misuse of confidential information, or platform abuse, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration.
33.3 Arbitration Rules
Arbitration will take place in Nassau County, New York, unless the parties agree otherwise or applicable law requires otherwise.
33.4 No Class Actions
You and RXB agree that each may bring claims only in an individual capacity and not as a plaintiff, class member, representative, or participant in any class, collective, consolidated, private attorney general, or representative proceeding.
33.5 Jury Trial Waiver
To the maximum extent permitted by law, you and RXB knowingly and voluntarily waive any right to a trial by jury.
33.6 Injunctive Relief
Nothing in these Terms prevents RXB from seeking injunctive or equitable relief in court to protect its intellectual property, confidential information, platform integrity, users, data, security, or business interests.
34. Governing Law and Venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Subject to the arbitration provisions above, the exclusive venue for disputes not subject to arbitration will be the state or federal courts located in Nassau County, New York, and you consent to personal jurisdiction in those courts.
35. International Users
RXB is operated from the United States. If you access the Services from outside the United States, you are responsible for complying with local laws. You consent to the transfer, processing, and storage of information in the United States and other jurisdictions where RXB or its service providers operate, subject to applicable law and RXB’s Privacy Policy.
36. Export Controls and Sanctions
You may not use, export, re-export, import, sell, transfer, or access the Services in violation of U.S. export control laws, sanctions laws, or other applicable trade restrictions. You represent that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive U.S. sanctions and that you are not listed on any restricted party list.
37. Electronic Communications
By using the Services, you consent to receive electronic communications from RXB, including notices, updates, agreements, disclosures, account messages, transactional messages, security alerts, marketing communications, and service-related communications. You may opt out of certain marketing communications, but not essential service or legal notices.
38. Changes to the Terms
RXB may modify these Terms at any time. If RXB makes material changes, RXB may provide notice through the Services, by email, or by other reasonable means. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
39. Changes to the Services
RXB may modify, suspend, discontinue, replace, limit, or remove any part of the Services at any time, including features, pricing, subscriptions, dashboards, rankings, algorithms, analytics, Partner Program benefits, APIs, integrations, or availability. RXB will not be liable for any modification, suspension, or discontinuation of the Services.
40. Force Majeure
RXB will not be liable for any delay, failure, interruption, loss, or damage caused by events beyond RXB’s reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet failures, hosting failures, cyberattacks, government actions, power outages, pandemics, platform provider failures, payment processor failures, or failures of third-party services.
41. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without RXB’s prior written consent. RXB may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, reorganization, financing, sale of assets, corporate transaction, or by operation of law.
42. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be enforced to the maximum extent permitted by law or replaced with a valid provision that most closely reflects the original intent.
43. No Waiver
RXB’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by RXB.
44. Entire Agreement
These Terms, together with any incorporated policies and applicable additional terms, constitute the entire agreement between you and RXB regarding the Services and supersede all prior or contemporaneous agreements, communications, understandings, or representations regarding the Services, except for any separate written agreement signed by RXB.

By accessing or using RXB, creating an Account, uploading Content, submitting Demos, reviewing submissions, participating in rankings, using label or enterprise tools, participating in the Partner Program, purchasing paid Services, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
